Termination and Cancellation Policy for Giggles ERP

Effective Date: 1st Decembar 2023

This Termination and Cancellation Policy describes the conditions under which either party may terminate or cancel services related to Giggles ERP. By using or purchasing Giggles ERP, you agree to the terms outlined below.

Termination by the Company

Techno Infonet Gujarat Pvt. Ltd. reserves the right to terminate our access to Giggles ERP under the following circumstances:

Breach of Agreement: If you violate the agreed Terms and Conditions, Privacy Policy, or other contractual obligations, including but not limited to:

Non-payment of invoices or subscription fees within the stipulated time.

Sharing Giggles ERP software, source code, or related intellectual property with unauthorized third parties.

Misuse or unauthorized access to the system, including attempts to compromise its security or integrity.

Illegal Activity: If the software is used for unlawful purposes, including fraud, data theft, or activities in violation of applicable laws.

Failure to Provide Resources: If you fail to deliver necessary feedback, resources, or approvals required for project completion, resulting in delays or project stagnation.

Force Majeure: If unforeseen circumstances, such as natural disasters, government restrictions, or other force majeure events, render the continuation of services unfeasible.

Termination by the Customer

You may terminate your agreement with us under the following conditions:

Notice Period: Termination requests must be submitted in writing at least 30 days before the intended termination date. Failure to provide sufficient notice may result in continued billing for that period.

Completion of Obligations: All outstanding payments for services delivered up to the termination date must be settled in full.

Post-Termination Restrictions: Upon termination, you are required to:

Cease all usage of Giggles ERP software and associated licenses.

Return or delete all copies of the software, if applicable.

Ensure compliance with intellectual property and confidentiality agreements.

Cancellation Policy

Before Work Commences: Customers may cancel their order before any work begins. However, cancellations will only be accepted if a formal written request is submitted. A cancellation fee may be charged to cover administrative and initial consultation costs.

After Work Commences Once development or customization has started, cancellations will not be entertained. Customers are obligated to pay for the work already completed, even if they choose not to proceed further.

Consequences of Termination

Data Handling: Upon termination or cancellation, we will:

Provide a final backup of your data upon request, subject to fees for this service.

Permanently delete your data from our systems within 30 days after termination unless legally required to retain it.

You are responsible for exporting your data before termination.

Refunds: No refunds will be provided for terminated or canceled agreements, as outlined in the Refund Policy.

Access Termination: All user accounts and access to Giggles ERP will be disabled immediately upon termination, unless otherwise agreed.

Suspension of Services

In certain cases, we may temporarily suspend services instead of terminating them outright, including:

Payment Delays: If payments are overdue, services may be suspended until outstanding dues are cleared.

Policy Violations: If violations of the Terms and Conditions are minor and can be rectified, we may temporarily suspend access while awaiting corrective actions.

Reinstatement of Services

In the event of termination or suspension due to customer non-compliance, services may be reinstated at our discretion after:

Full payment of outstanding dues and penalties, if applicable.

Written confirmation from the customer ensuring compliance with all policies moving forward.

Dispute Resolution

If disputes arise regarding termination or cancellation:

The matter will be handled as per the dispute resolution terms outlined in the Terms and Conditions.

Legal jurisdiction will be as per Ahmedabad District of Gujarat State of INDIA.

Non-Transferable Rights

All licenses and services provided under the agreement are non-transferable. Termination or cancellation of the agreement also terminates any rights granted to the customer.
